1. Purpose and Service Description

1.1 Purpose

These Terms of Service govern your use of the Oday mobile application, an AI-powered productivity app for managing your tasks and calendar events. By using the Application, you accept these Terms and our Privacy Policy.

1.2 Service Description

Oday is a productivity application that allows you to:

  • Create, organize, and manage your daily tasks
  • Sync and view your reminders and calendar events
  • Use AI to interact with your tasks and events through natural language
  • Receive daily reminders and recaps via push notifications
  • Benefit from automatic rescheduling of incomplete tasks
  • Receive AI-powered scheduling conflict detection and workload analysis after each task or event change, with suggested alternative dates when your day is over capacity
  • View your tasks and upcoming events at a glance on your iOS home screen widget, which reads data from on-device App Group shared storage and does not transmit any data externally
  • Receive a weekly planning reminder notification every Sunday evening to help you review and plan the upcoming week
  • Receive personalized energy-based task suggestions: after an energy check-in, the app automatically analyzes your energy level, task titles (via keyword-based cognitive load classification), schedule, and linked objectives to suggest schedule adjustments tailored to your current capacity

1.5 Weekly Planning Reminder Notification

Every Sunday evening, the Application automatically sends a recurring push notification to all users with push notifications enabled. This weekly planning reminder is designed to help you review and prepare for the upcoming week. It is delivered at approximately 8:00 PM in your local timezone. This notification is system-initiated and does not require individual opt-in — all users with push notifications enabled will receive it. You can stop receiving it at any time by disabling push notifications for Oday in your device's Settings > Notifications menu. If Oday introduces an in-app notification preference center in the future, opt-out controls will be described here.

1.3 Third-Party Services and Advertising

The Application integrates third-party services to provide and improve our service. For AI features, we route requests through OpenRouter to AI providers including OpenAI, Mistral, and Google (Gemini). Your tasks and events — including titles, dates, priorities, labels, and recurrence patterns — may be sent to these AI models to fulfill search, retrieval, and productivity requests on your behalf. Your interactions with AI-powered suggestions (such as weekly review triage recommendations) are tracked via PostHog analytics: specifically, whether an AI suggestion was shown to you and whether you acted on it. This data is used to measure and improve AI feature relevance. For satisfaction feedback, when you explicitly submit a feedback message, your name, email, and feedback text are sent to Sentry for product improvement. For advertising measurement, we use the TikTok Business SDK, which may collect app event data (such as installs, registrations, and subscription events) and, with your consent on iOS, your advertising identifier (IDFA). For in-app customer support, we use the Crisp chat SDK (crisp.chat). When you use the support chat, your user ID, email address, and chat messages are transmitted to Crisp's servers to identify your support session and handle your request. Conversations are subject to Crisp's own Terms of Service and Privacy Policy (https://crisp.chat/en/privacy/). For full details on data collection and sharing, please refer to our Privacy Policy.

1.4 Terms of Use

Eligibility

You must be at least 16 years old to use the Application. If you are a minor, you must obtain permission from your parents or legal guardians.

User Account

  • You must create an account to use the Application
  • You are responsible for keeping your credentials confidential
  • You are responsible for all activities from your account
  • You agree to provide accurate and up-to-date information
  • You can only create one account per person

2. Intellectual Property Rights

2.1 Oday's Rights

The Application, including its source code, design, interface, logos, and all associated content, is protected by intellectual property rights and is the exclusive property of Oday and its licensors. No license or rights are granted beyond the intended use of the Application.

2.2 Your Content

You retain all rights to the data you create in the Application (tasks, events, descriptions). By using the Application, you grant us a limited, non-exclusive, revocable license to store, process, and display your data to provide the Service. When you voluntarily submit satisfaction feedback, you grant us and our service providers (including Sentry) a license to use that feedback for product improvement purposes.

2.3 Restrictions

You may not copy, modify, reverse engineer, decompile, or attempt to extract the source code of the Application, except as permitted by applicable law.

3. Acceptable Use Policy

3.1 Permitted Uses

You may use Oday for personal productivity, task management, and calendar organization.

3.2 Prohibited Activities

You agree not to:

  • Use the Service for illegal purposes or in violation of any laws
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Transmit viruses, malware, or harmful code
  • Abuse, harass, or harm other users
  • Use automated systems (bots, scrapers) without authorization
  • Violate intellectual property rights

3.3 Customer Support Chat

When using the in-app customer support chat powered by Crisp (crisp.chat), you agree to communicate respectfully and in good faith, and not to send any illegal, harmful, abusive, or offensive content through the chat. The support chat must not be used to attempt to gain unauthorized access to systems or to exploit the support service in any way. Conversations are processed and retained by Crisp according to their own data retention policy. Oday reserves the right to suspend or revoke support chat access for users who violate these provisions.

4. Service Availability and Modifications

4.1 Service Availability

We strive to provide reliable service but cannot guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control.

4.2 Right to Modify

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time. We will notify you of significant changes.

5. Subscription and Payments

5.1 Free Trial Period

Oday offers a 7-day free trial period for all subscriptions (monthly and annual). During this trial, you will have full access to all features at no cost and with no commitment. No charges are made during the trial period.

5.2 Automatic Conversion

At the end of the 7-day trial period, your subscription will automatically convert to a paid subscription at the price indicated during sign-up. The first charge will occur on the 8th day after the start of your trial. If you do not wish to be charged, you must cancel your subscription before the end of the trial period.

5.3 Paid Subscription

Two subscription options are available: monthly and annual. Billing is handled through the App Store or Google Play, subject to their respective terms. Pricing and subscription details are clearly presented before any subscription. Subscriptions automatically renew at the end of each period (monthly or annual) unless you cancel. A paid subscription unlocks premium features, including unlimited active objectives.

5.4 Cancellation and Refunds

You may cancel your subscription at any time through your App Store or Google Play account settings. To avoid being charged, cancellation must occur at least 24 hours before the end of the trial period or current subscription period. Refunds are subject to Apple's and Google's respective refund policies.

5.5 Access After Trial or Cancellation

When your free trial ends without conversion to a paid subscription, or when you cancel an active subscription, you retain access to the Oday application and all its features. However, your usage will no longer be unlimited. Usage quotas will apply to ensure fair use of the service. In particular, free-tier accounts are limited to 1 active objective. If you attempt to create an additional objective without an active subscription, you will be prompted to subscribe. Users who had more than 1 active objective before this limitation was introduced may continue to manage their existing objectives but will not be able to create new ones without subscribing.

5.6 Right of Withdrawal

In accordance with European consumer protection regulations (Directive 2011/83/EU), you have a 14-day withdrawal period from the date of subscription. However, by confirming your purchase and agreeing that the service be provided immediately (instant access to premium features), you expressly acknowledge waiving your right of withdrawal. For any refund requests after this period, please contact Apple via the App Store (iOS subscription) or Google via Google Play (Android subscription). 6. Account Termination

6.1 Termination by You

You may delete your account at any time through the app settings. Upon deletion, your data will be permanently removed.

6.2 Termination by Oday

We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reasonable cause.

6.3 Effects of Termination

Upon termination, your right to use the Service ceases immediately. All data associated with your account will be deleted.

7. Limitation of Liability

7.1 Service 'As Is'

The Service is provided 'as is' and 'as available' without warranties of any kind, either express or implied.

7.2 No Warranties

We do not warrant that the Service will be error-free, secure, or uninterrupted. We do not guarantee the accuracy or reliability of any content.

7.3 AI Disclaimer

AI-generated suggestions and task interpretations are provided for convenience only. You are responsible for reviewing and verifying all AI-generated content.

7.4 Limitation of Damages

To the maximum extent permitted by law, Oday shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Service.

8. Indemnification

You agree to indemnify and hold harmless Oday, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service or violation of these Terms.

9. Dispute Resolution

9.1 Governing Law

These Terms are governed by the laws of France, without regard to conflict of law principles.

9.2 Jurisdiction

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Paris, France.

10. General Provisions

10.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Oday.

10.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force.

10.3 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.

11. Privacy Policy Reference

Your privacy and the protection of your personal data are governed by our Privacy Policy, available at Privacy Policy.

By using Oday, you also agree to our Privacy Policy.

12. Contact and Modifications

12.1 Modifications to Terms

We reserve the right to modify these Terms at any time. Significant changes will be communicated via email or in-app notification. Continued use of the Service after changes constitutes acceptance.

13. Health-Adjacent Wellness Data and Explicit Consent (GDPR Article 9)

13.1 Energy Check-In Feature

The Application includes an energy check-in feature that allows you to self-report your current energy level (high, normal, or low). When you submit an energy check-in, we collect: (1) your self-reported energy level, (2) your device timezone (e.g. Europe/Paris), and (3) timestamps associated with your check-in (check-in date, response time, creation and update times), stored alongside your user ID as a longitudinal wellbeing record.

13.2 GDPR Article 9 Acknowledgment and Explicit Consent

We acknowledge that self-reported energy level data may constitute a health-adjacent wellness indicator under GDPR Article 9. Pursuant to Article 9(2)(a) of the GDPR, we rely on your explicit consent to process this data. By choosing to use the energy check-in feature, you provide explicit consent to the processing of this health-adjacent wellness data for the purpose of generating personalized productivity recommendations. This consent is freely given, specific, informed, and unambiguous. You may withdraw your consent at any time by ceasing to use the energy check-in feature and requesting deletion of your energy check-in records by contacting us at contact@oday.app.

13.3 Consent Separability

Your consent to the processing of health-adjacent wellness data through the energy check-in feature is separable from your general consent to these Terms of Service and our Privacy Policy. Declining to use the energy check-in feature, or withdrawing consent for this data processing, does not affect your right to use the other features of the Application. For the legal basis and full description of how this data is processed, please refer to the 'Energy and Wellbeing Data' section of our Privacy Policy.

13.4 Your GDPR Rights for Energy Check-In Data

With respect to your energy check-in records, you have the following GDPR rights:

  • Right of access: You may request a copy of all energy check-in records associated with your account.
  • Right to rectification: You may request correction of inaccurate energy check-in records.
  • Right to erasure: You may request permanent deletion of all your energy check-in records at any time, independently of deleting your full account.
  • Right to data portability: You may request your energy check-in records in a structured, machine-readable format.
  • Right to withdraw consent: You may withdraw your consent to the processing of this health-adjacent wellness data at any time without detriment to your use of other application features.

To exercise any of these rights, contact us at contact@oday.app. We will respond within one month. Upon account deletion, all energy check-in records are immediately and permanently deleted.

13.5 Data Protection Commitments

Energy check-in data is never shared with third parties for commercial purposes. It is never used to train AI models, whether developed by Oday or any third party. This data is processed exclusively for the purpose of generating personalized productivity recommendations within the Application.
